Five years ago, Character.AI was the chatbot app everyone’s younger cousin could not stop opening. On October 13 the company filed for Chapter 11 bankruptcy, and in the same breath agreed to sell some of its assets to Disney for $20 million. The platform is still running for now, but whether it survives past the end of the year depends on a sale process that has not found a buyer yet.

    The short version

    • Character.AI filed for Chapter 11, listing assets and liabilities between $50 million and $100 million
    • Disney agreed to buy some assets for $20 million and gets a non-exclusive, perpetual license to the technology
    • The court-supervised sale should close in late November or early December, but no bid for the platform itself has been announced
    • If no buyer appears, the company says the platform will be wound down

    What the company actually said

According to TechCrunch’s reporting, CEO Colin Adams described the filing as the best route to “maximize value for all stakeholders” after a review of the alternatives. He pointed to legal, regulatory and operational headwinds over the past year. The app will keep operating during the process, but Adams was blunt about the downside: if no workable bid arrives, the platform gets shut down.

The Disney piece is the most concrete part of the deal. Disney pays $20 million for some assets and receives a perpetual license to the technology, though that license is not exclusive. Character.AI says Disney will also supply transition services through former Character.AI employees who joined the entertainment giant last month, alongside the company’s former CEO, Karandeep Singh Anand.

From unicorn to Chapter 11 in five years

The rise was fast. Former Google engineers Noam Shazeer, a co-author of the original Transformer paper, and Daniel De Freitas founded the company in late 2021. By September 2022 it had a $150 million round and unicorn status, with users trading more than 2 billion messages in just five months and spending over two hours a day on the platform. The mobile apps pulled in 1.7 million installs in their first week in May 2023.

Five years, one very steep curve Key milestones from founding to filing Late 2021 Founded by ex-Google engineers Sep 2022 $150M round, unicorn status, 2B+ messages May 2023 1.7M installs in the first week of apps Aug 2024 Google pays $2.7B to license the models Oct 2024 20M monthly active users, the peak Oct 2026 Chapter 11, $20M Disney asset sale Funding raised: more than $193 million (PitchBook)

The turning point came in August 2024, when Google struck a $2.7 billion deal to license the startup’s models and Shazeer and De Freitas went back to the search giant. The company stopped training its own foundation models and pivoted to growth. It worked on paper: monthly active users hit 20 million that October.

The legal and safety problems that followed

Growth came with a heavy price. The startup was sued after the suicide of a 14-year-old Florida boy whose mother says he became obsessed with a chatbot on the platform. Texas then opened an investigation into whether the service met child privacy and safety laws. Character.AI settled some of the lawsuits, added safety features and ultimately banned minors from the platform.

Disney was also in the picture long before this week. In late September 2025, the studio sent a cease-and-desist letter demanding Character.AI stop using its characters without permission, and the company pulled the cited characters. That makes the $20 million asset sale a notable turn: a company once warned off Disney’s intellectual property is now handing Disney part of its technology. The same kind of tension runs through other safety fights in the industry, like when OpenAI fired three safety researchers this month.

Why a hugely popular chatbot app still went broke

TechCrunch notes that Character.AI was one of the top apps for time spent, according to Sensor Tower. That sounds like a dream metric, but in AI it is a double-edged one. Every message costs real compute, so the more people chat, the higher the bill, and the more pressure there is to charge for it. The company tried to broaden its appeal with AI video generation, social feeds, interactive storytelling and microdramas under Anand, who took over as CEO in June 2025. None of it moved the needle enough.

    What is still unclear

    • Who buys the platform. There is no bid yet, and the company says wind-down is the fallback
    • What happens to user chats and characters. The company has not detailed data handling in a sale or shutdown
    • What Disney plans to build. A non-exclusive license leaves the technology open to other buyers too

Microsoft’s Brad Smith Says Milk Is Regulated More Than AI, and Wants the UK to Fix That

The story is a useful reality check. Companionship and character chat produced massive engagement, yet the economics only worked with a deep-pocketed partner like Google in the background. Other consumer AI products face the same math, especially the ones that try to be human-like, a theme we explored when nearly half of people on a video call mistook an AI for a human. Realistic conversation is expensive to run and legally risky to offer, particularly to younger users.

    What to watch next

    • The bidding process. Any offer for the platform should surface before the late November or early December target
    • Court filings. They may reveal how much the company owes and to whom
    • Disney’s next AI move. The studio now holds technology and a team with deep experience in character-driven chat

If you use Character.AI, it is worth exporting anything you care about while the app still works. The company has said it will keep operating during the sale, but the fallback plan is a shutdown, and that clock is ticking.
